12.59 Million Shares of SPIMACO Sold at 27.90 SAR per Share
GIB Capital, in its capacity as the financial advisor and institutional bookrunner, has announced the completion of the accelerated book-building process for the sale of the entire stake held by the Arab Company for Drug Industries and Medical Appliances (ACDIMA) in the Saudi Pharmaceutical Industries and Medical Appliances Corporation, known as SPIMACO.
The final offer price was set at 27.90 SAR per share, with 12.59 million shares sold, representing approximately 10.49 percent of SPIMACO's share capital. The sale was executed through negotiated deals on Sunday, September 6, 2026, in accordance with the negotiated deal mechanism stipulated in the trading and membership procedures. The offering was restricted to institutional investors within the Kingdom.
This transaction is a sale of shares by an existing shareholder and not a capital increase. This means the company itself will not receive any proceeds from the offering, and the transaction will not result in any dilution of other shareholders' ownership in the company. In the event that the selling shareholder retains any shares after the completion of the offering, they will be subject to a 60-day contractual lock-up period on those remaining shares.
Practically speaking, for those following the Saudi market, this means that a stake representing nearly one-tenth of the share capital has been transferred to new institutional investors, while the ownership structure of the remaining shareholders remains unchanged.
